General Discussion / Re: print (Hello EMF)

Lightning is not a scam company - it is real - they set a land speed record at Bonneville, won Pikes Peak beating all gas bikes by 20 seconds. Do your own research the trolls have no credibility.

Agree with you. Definitely a small boutique electric builder but I haven't seen claims of high volume but seen low volume and as you said record holder at events like Pike Peak. I watch them for innovation from a very small builder. Electrics are a tough segment especially with the whole motorcycle industry struggling. H-D and KTM having serious challenges.

Energica is out of business, Mission, Brammo, Motoczysz, Alta, Cake, Fuell are gone - Damon most likely is not going to survive, LiveWire is losing over $100m a year, Zero has gone through over $600m - so there is that too. The electric motorcycle business is not easy. I guess you have to do what you have to do to survive in a tough market. Whatever - good for them.

Damon / Re: Damon outsourcing engineering of the HyperSport
« on: April 17, 2025, 04:47:33 AM »
Aaron - first hope you are recovering and feeling better. I thought the same - Damon is contracting an engineering to develop the Hypersport. Sounds like they do not have an actual Hypersport prototype yet - I read somewhere that the Damon demo bike was a Mission with Damon body work but who knows. Their stock is trading at .0031 a share - 31 thousandths of a penny. NASDAQ sent them a delisting notice.

Damon / Damon outsourcing engineering of the HyperSport
« on: April 08, 2025, 10:12:00 PM »
Per SEC filing on April 4 - Damon is outsourcing their engineering - Damon contracted Engines Engineering S.p.a. (“EE”), an Italian corporation specializing in vehicle engineering, design and development, to provide such services for development of the Company’s HyperSport electric motorcycle (the “Project”).

Under the Agreement, EE will be responsible for delivering services in multiple areas including technical compliance, component selection, development and validation testing, and prototyping. The Project is structured into nine development phases continuing through March 2026, with specific milestones and deliverables required at each phase.

The total contract value of the Agreement is €1,581,670, with half of the amount invoiced on the date of the Agreement, and the remaining half tied to milestone-based deliverables for each phase of the Project, to be invoiced in installments following the Company’s acceptance of the corresponding phase.

Pursuant to the Agreement, all work product developed under the Agreement will be owned by the Company upon full payment for the applicable phase, while EE retains ownership of its pre-existing intellectual property and grants the Company an irrevocable, perpetual, nonexclusive, worldwide and paid-up license to use such intellectual property and create derivative works from it when used as part of or in support of the work product developed under the Agreement.

Glad you survived and hope you recover quickly - hope the other rider recovers. Airbag suits are worth every penny. Take care.

Energica / Re: For sale - whole company for price of a Bugatti
« on: March 27, 2025, 01:49:04 AM »
This is really the worst climate for a sale like this. Motorcycle sales are way down, there’s a strong anti-EV backlash, and people are tightening the belt in general. Gas OEMs either aren’t ready to commit strongly yet, or they already have their own programs in full swing. If the Italian court and govt are going to complete the sale, they’re going to need to include subsidies or writedowns that provide a clear path to profitability amid uncertain future demand. Otherwise, no one is going to want to sign up to spend 50mm+ Euros just so they can keep losing money until who knows when.

You mentioned a key point - there has to be a path to profitability.

In the documents it was stated the Italian government was paying the Energica payroll for over a year before the bankruptcy to keep it afloat - I assume that is why the sale terms were to keep 32 union employees (first round) and 22 employees (second round) plus the CTO, you had to take over the building lease, keep the company in Italy, etc - I think the government wants to recoup their investment in Energica and keep the company going to retain jobs and collect taxes. It may not be the purchase price holding off a buyer but the restrictive terms in the purchase agreement plus the capital required for the long term.

Regarding the Energica auction. The trustee posted on the Portale delle Vendite Publiche website - translation to English - "No offers received by the deadline of 03/19/2025, 4:00 p.m., as required by the competitive tender notice." What happens next?

The Ben Affleck's Strike R is blue on YouTube and People magazine - it seems the bike in the Accountant 2 is gray or silver. Lightning is still in business - so many other electric motorcycle companies are out of business - Brammo, Mission, Alta and Energica. Damon promising their bike by end of 2016 or 2017. Verge? Livewire losing over $100m a year. Zero seems healthy. Hopefully one day more electrics than gas bikes.

I saw that - it is a Lightning Strike R in the Accountant 2 not an LS-218. There are videos online of Ben Affleck riding his blue Strike R and some photos in people magazine - I see he owns one. So I guess no LS-218s ever existed.

Damon / Re: You're Probably Never Getting the ... Damon Electric Motorcycle
« on: February 13, 2025, 01:31:32 AM »
I follow the stock and read all SEC filings - there is something missing from the article - Damon did a filing with SEC on 7 February that has their product roadmap in it for investors - interesting read - I attached a screen shot of the timeline for product launch.

If you want to read the new Prospectus for investors -

https://www.sec.gov/Archives/edgar/data/2000640/000121390025011158/ea0230299-424b3_damon.htm

Timeline for launch published in prospectus -
Hypersport - Q3 2026 up to Q2 2027
Hyperfighter - Q1-Q2 2028
HyperLite - Q1-Q2 2029

Also - if you read it all, you will find this statement - Damon initially plans to deliver its vehicles without CoPilot ADAS, with the goal to activate additional features over time. There is no guarantee that the CoPilot ADAS will ultimately perform in line with expectations.

If Livia quoted the number of units is should be accurate. The public Auction Documents from the trustee that has Energica's balance sheet from 2018 through 2023. (Doc 2_Relazione di stima ramo Energica e allegati - file to large to attached - but it is online). On page 7 the cost of goods are shown - you can divide the cost of goods over the years by a price you feel they sold each motorcycle at - they did not publish number of units but you have the cost - as a rough estimate if you use $20,000 per unit it works out to about 2,500 units produced (not sold) - but you can do your own math and determine the number of units you think were produced. Also it shows the 6 year period from 2018 through 2023 that they lost -47,622,306 Euros. It is all in the auction documents from the trustee. I got burned by Ideanomics - Energica was the best part of their portfolio so it is sad.
